The period is quarterly unless you are a large company: above €6,010,121.04 of turnover, or on the monthly refund register (REDEME), VAT and withholdings become monthly (art. 71.3 VAT Regulation). Any further form your activity triggers (347, 349, 232, 216/296) is also part of the quote. Without the deposit of accounts, the Mercantile Registry files no other company document, subject to the exceptions in art. 282.2 LSC.

Frequently asked questions

How much does it cost?

It depends on your invoice volume: we tell you in writing before you commit.

Fill in the form with your turnover, invoices per month, employees and banks. You get a fixed quote, plus VAT, and you decide.

My company is dormant. Do I still have to file anything?

Yes: Form 200, the deposit of accounts and nil quarterly returns.

A registered S.L. must still file Form 200 and deposit its accounts even with no invoices, and the quarterly returns are still filed as nil returns until you deregister the obligations on Form 036 (art. 71.1 VAT Regulation).

What happens if I don't deposit the annual accounts?

The Registry freezes the company's file and the accounting regulator (ICAC) issues a fine.

The fine runs from €1,200 to €60,000, and up to €300,000 per year of delay if the company or its group turns over more than €6,000,000; deposit the accounts before the penalty procedure opens and it is imposed at its minimum grade, halved (art. 283.1 and 283.3 LSC). And while the breach lasts the Registry files no other company document, except the removal of directors, the revocation of powers and the winding-up (art. 282.2 LSC).

I'm the director and I don't live in Spain. Is that a problem?

None for you, but the company has to withhold if it pays you.

An S.L. incorporated under Spanish law is tax resident here, wherever its director lives. That said, if the company pays you as a director or distributes dividends to a non-resident shareholder, it must withhold IRNR and file Forms 216 and 296 (art. 13.1.e LIRNR): those are company filings and they are inside the quote. Your personal taxes are separate.

I already have an accountant. Can I switch mid-year?

Yes. We pick up the books where they are and carry on from the next return.

We need the trial balance and the returns already filed this year. We take care of the rest.

Do you charge VAT?

Yes: every price is plus 21% VAT.

Our invoice is one more company expense, with the VAT itemised.

Can I cancel?

Yes. The cancellation terms are written into the quote.

Before you sign you know the term and how to cancel. If you leave, we hand over the books and the receipts.
